Force Majeure Policy

Extraordinary circumstances, your rescheduling credit, and how this differs from weather and cancellation policies.

What Is Force Majeure?

Force majeure — French for “superior force” — refers to extraordinary circumstances beyond the reasonable control of either party that prevent or delay performance of a contract. This clause protects both AE and our clients when something genuinely unforeseeable and unavoidable disrupts an event.

Events Covered

Force majeure events include, but are not limited to:

  • Acts of God: earthquakes, tornadoes, floods, lightning strikes, or similar natural disasters
  • Government orders: mandatory evacuations, public health emergency declarations, permit revocations, or curfews
  • Public health emergencies: declared health crises that prohibit or materially restrict public gatherings
  • Venue closures: involuntary closure of the event venue by a third party (not caused by Client or AE)
  • Infrastructure failures: power grid outages, road closures, or communications failures beyond local control
  • Labor disruptions: strikes, work stoppages, or supply chain failures materially affecting AE’s ability to operate

⚠️ Note: Ordinary weather (rain, heat, cold) is NOT a force majeure event for AE. We have a dedicated Weather Policy for weather-related situations, which provides clear and fair procedures for reschedules and credits.

What Happens in a Force Majeure Event

If a genuine force majeure event prevents AE from performing on your event date:

  • AE will notify you as soon as we become aware of the situation
  • A rescheduling credit equal to the full amount paid will be issued, valid for 12 months from the original event date
  • Refunds in force majeure situations will be considered on a case-by-case basis and are not guaranteed
  • AE’s liability is strictly limited to the credit described above — we are not liable for consequential, incidental, or other damages arising from the cancelled event

If a force majeure event prevents the client from hosting the event (e.g., venue destroyed by natural disaster), the same process applies — contact us as soon as possible and we will work with you on a reasonable resolution.

Neither Party in Breach

When a force majeure event is properly invoked, neither AE nor the client is considered in breach of the Event Services Agreement. The affected party is temporarily excused from performance for the duration of the force majeure event. Once the force majeure event ends, obligations resume or are resolved through the rescheduling credit process described above.
